YBX Labs Terms & Conditions

1. Introduction

These Terms and Conditions govern your access to and use of the products, proprietary platforms, and custom engineering services provided by YBX Labs (formerly YesbhautikX). By engaging our services, subscribing to our software, or accessing our infrastructure, you agree to be bound by these terms. If you are accepting these terms on behalf of an enterprise or other legal entity, you represent that you have the authority to bind that entity to these conditions.

2. Scope of Services

YBX Labs provides high-performance technological infrastructure, including but not limited to:

  • Proprietary Products: Access to our software, platforms, and orchestration tools in the AI and Web3 sectors.
  • Custom Engineering Services: Specialized consulting, architecture planning, model training (AI/ML), and blockchain development.
  • Open-Source Management: Strategic implementation and maintenance of open-source software.

Specific deliverables, timelines, and enterprise Service Level Agreements (SLAs) for custom services will be outlined in a separate Statement of Work (SOW) or Enterprise Agreement.

3. Intellectual Property Rights

We respect ownership and clearly define boundaries regarding intellectual property:

  • Proprietary Products: YBX Labs retains all rights, title, and interest in our proprietary software, internal algorithms, and pre-existing frameworks. You are granted a limited, non-exclusive license to use these tools as outlined in your specific service tier.
  • Custom Work & Deliverables: Upon full payment of applicable fees, you own the final custom deliverables (e.g., tailored architectural code, custom-trained ML models) as explicitly defined in your SOW.
  • Client Data: You retain full ownership of all proprietary data, configurations, and assets you provide to us for processing or deployment.

4. Artificial Intelligence & Machine Learning Use

Our AI solutions are engineered for performance and reliability, but artificial intelligence is fundamentally probabilistic.

  • You acknowledge that AI models may occasionally generate outputs that are unpredictable or factually inaccurate (hallucinations).
  • YBX Labs provides the infrastructure and orchestration; however, you are solely responsible for human oversight, output verification, and the consequences of deploying AI-generated decisions within your business operations.

5. Web3 & Blockchain Infrastructure

If your engagement involves Web3, decentralized applications (dApps), or crypto-finance tooling:

  • You understand that blockchain networks are inherently decentralized, immutable, and subject to high network volatility.
  • YBX Labs is not responsible for losses caused by smart contract vulnerabilities on third-party protocols, irreversible blockchain transactions, private key mismanagement by your team, or sudden regulatory shifts affecting crypto assets.

6. Client Responsibilities

To ensure we can deliver enterprise-grade performance, you agree to:

  • Provide timely, accurate data and operational access required for us to fulfill our engineering duties.
  • Secure your own credentials, private keys, and API access tokens.
  • Use our infrastructure legally. You may not use YBX Labs products to deploy malicious code, conduct unauthorized penetration testing on our systems, or violate data privacy regulations.

7. Warranties and Limitation of Liability

  • "As Is" Provision: While we engineer our systems to rigorous enterprise standards, our proprietary products are provided "as is" without implied warranties of absolute uninterrupted uptime, except where explicitly guaranteed in an enterprise SLA.
  • Liability Cap: To the maximum extent permitted by law, YBX Labs shall not be liable for any indirect, incidental, or consequential damages (including lost profits, data loss, or business interruption) arising from the use of our services. Total liability shall not exceed the amount you paid to YBX Labs in the six (6) months preceding the claim.

8. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising under these terms or your engagement with YBX Labs will be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, India.
